How to Raise Between $5M and $15M for Your Startup

The $5M-$15M Institutional Threshold

Raises of $5M-$15M are typically Series A or large seed rounds led by institutional venture capital firms. At this level, the process is fully institutional: formal partner meetings, deep due diligence, board governance negotiations, and legal complexity.

The bar is high: investors at this stage evaluate hundreds of companies and fund fewer than 2-3% of what they see. Your positioning, metrics, and preparation need to be institutional-grade.

What Investors Expect at $5M-$15M

Proven metrics: $1M-$3M ARR for SaaS, significant GMV for marketplaces, enterprise pilots or revenue for AI/deep tech. The specific threshold depends on your vertical.

Growth trajectory: 2.5-3x year-over-year growth minimum. Investors project forward — they need to see a path to $10M+ ARR from Series A capital.

Unit economics: Positive or clearly path-to-positive unit economics. LTV/CAC above 3x, gross margins above 60%, and evidence of scalable customer acquisition.

Team: Leadership team beyond just founders. VP-level hires in place or planned. Board-ready governance structure.

Market position: Clear competitive differentiation, evidence of market pull (not just push), and a defensible position that can sustain through scaling.

Preparation for Institutional Fundraising

At this level, preparation is extensive:

- Financial model: 3-5 year projection with monthly granularity for the next 24 months. Stress-tested assumptions. Sensitivity analysis. - Data room: Complete corporate documents, cap table, financial statements, customer contracts, IP documentation, employee agreements. - Board strategy: Proposed board composition, governance framework, protective provision scope. - Competitive analysis: Detailed positioning vs. alternatives, with evidence of differentiation. - Reference plan: Customer references, founder references, advisor references — all pre-arranged.

This preparation takes 8-12 weeks minimum. Starting the institutional fundraising process without it leads to extended timelines and weaker terms.
